Bidboum Platform

Boum d'Enchérir inc. / Bidboum inc., hereinafter referred to as “Bidboum”, is an online platform that allows users to participate in auctions in order to obtain vouchers redeemable for specific goods or services from certain retailers. To do so, the retailer offers, through Bidboum’s website hereinafter the “Site”, various goods or services of its choice, at a starting price of its choice, for which an auction will take place on the dates and times determined by Bidboum. The user may then place a bid, which will be awarded to the highest bidder upon expiry of the scheduled auction period. The user to whom the auction is awarded will have a period of twenty-four (24) hours to log in to their dashboard on the website, claim the relevant offer, pay the awarded amount, and select a time slot according to the availability indicated by the retailer, in order to obtain the voucher redeemable for the specified services from the retailer.

These Terms of Use, hereinafter the “Terms”, set out your rights and obligations regarding the use of the website [bidboum.ca], hereinafter the “Site”, made available to you by Bidboum.

Before browsing the Site and using its features, the user must also accept the Privacy Policy, hereinafter the “Policy”, regarding the use of personal information obtained through their use of the Site. This Policy is deemed to form an integral part of these Terms.

If the user chooses to place a bid in an auction taking place on the Site, and/or subsequently purchase the voucher redeemable for the services awarded to them through an auction, these Terms shall also serve as a service agreement between Bidboum and the user, in accordance with all the terms described herein.

You must therefore consent to these Terms in order to access the Site, use its features, place a bid, or purchase the voucher awarded through an auction.

By accessing the Site, you, hereinafter and hereinabove “you” or the “User”, agree to be bound by the provisions of these Terms both during and after your use of the Site.

IT IS YOUR RESPONSIBILITY TO CAREFULLY READ THESE TERMS AND TO ENSURE THAT YOU FULLY CONSENT TO THEM BEFORE USING THE SITE.

IF YOU DO NOT ACCEPT ALL OF THESE TERMS, YOU MUST IMMEDIATELY STOP USING THE SITE.

It is your responsibility to read the Terms before each use of the Site, as they may be updated at any time.

Bidboum reserves the right to modify these Terms at its discretion and without prior notice.

1.   General Information

Bidboum provides the User with an online platform allowing them to:

-View offers proposed by retailers;
-Register on the platform in order to bid on offers;
-Participate in auctions by placing bids on offers, with the purpose of winning the auction that will allow them to purchase a voucher redeemable from participating retailers in order to obtain the proposed services, according to the terms determined by them;
-After award, purchase the relevant voucher.

To do so, the User must create a User Account and provide Bidboum with all requested information necessary for their identification.


2.   User Commitments

2.1   The User confirms that they will use the Site for lawful purposes and for personal use only. In this regard, when browsing the Site, the User undertakes to:

-Use the Site in full compliance with applicable legislation and these Terms;
-Use the Site in good faith, whether in using the Site’s Services or in interactions with any of its affiliated stakeholders or authorized representatives;
-Provide all requested information in order to identify the User;
-Not alter the Site Content through any computer or technological processes, nor jeopardize the security of the Site or its infrastructure, including by using malicious software or spreading computer viruses;
-Not test the security level of the computer measures implemented on the Site, instruct any third party to do so, or attempt to bypass the protection measures developed for the Site;
-Use the Site only through the User Account opened for their own needs;
-Not reproduce the Site Content for unlawful purposes or without authorization;
-Not misuse the Services offered on the Site, including, without limitation, by attempting to obtain goods and services for resale purposes;
-Not violate any copyright, patent, trademark, trade secret, or any other intellectual property, proprietary, publicity, or privacy right of any person;
-Not make any comment that could be considered offensive, violent, defamatory, terrorist in nature, inciting hatred, or otherwise, on blog articles, anywhere else on the Site, through the messaging service or chat, or by telephone;
-Not access the Site using automated software allowing independent control of the User Account without the control of a natural person;
-Notify Bidboum of any suspicious activity that occurred on the User Account so that Bidboum may be aware of the situation and preserve the integrity of the Site and its Content;
-Not attempt to obtain or discover the algorithms underlying the Site and the Services offered, or any computer processes enabling the viability and efficiency of the Site;
-Not share the User’s access credentials with any other person.

2.2   Any User who fails to comply with these Commitments may have their access to the Site restricted or suspended for a period determined at Bidboum’s discretion, depending on the seriousness of the breach attributed to the User.

2.3   Without limiting the foregoing, Bidboum may suspend a User Account without notice where it suspects that the User has committed or is about to commit illegal acts, including fraud.

2.4   The User also acknowledges that Bidboum may terminate the User Account, available offers, or the Site at any time and even at an inconvenient time. Accordingly, the User acknowledges that Bidboum cannot be held liable for any inconvenience, damage, or harm they may suffer as a result of such termination of a User Account, availability of an offer, and/or the Site.


3.   Intellectual Property

3.1   Bidboum is the sole owner of the Site, the domain names [bidboum.ca], the Bidboum trademark, and the Site Content. Accordingly, all Content developed by Bidboum appearing on the Site, the name and domain names, database rights, design rights, and any other intellectual property rights are protected by Canadian and foreign copyright laws as well as trademark laws and other applicable laws in similar matters. Unauthorized use or reproduction of the Content may violate copyright, trademarks, and other laws.

3.2   We reserve the right to take any appropriate legal action to stop any violation of our copyrights and to obtain appropriate remedies in such circumstances.

3.3   The User consequently acknowledges that they hold no real or personal right in respect of the Content found on the Site. The User’s use of the Site also creates no ownership right for the User in the Site Content. The User agrees that their use of the Site and the Services offered is limited to a service agreement between the Parties, and no license of use, in particular, is granted through the use of the Site.


4.   Service Agreement

4.1   In order to place a bid on an offer and purchase a voucher redeemable for the services if awarded, the User must create a User Account.

4.2   When the User places a bid on an offer and/or agrees to take advantage of an offer awarded to them by accepting it, a service agreement is automatically formed between the User and Bidboum, hereinafter the “Agreement”, which includes all the terms set out in these Terms.

User Account

4.3   The User must choose a password to secure access to their User Account. The User understands that the password must be complex and secure, and known only to the User. The User is aware that if they disclose their password by any means, share it, or use a password identical to any other account they use on third-party services, the security of their User Account may be compromised. In this regard, the User acknowledges that Bidboum is not responsible for the choice of password or the level of security associated with the password created for the User Account on the Site.

4.4   Any activity carried out from your User Account shall be attributable to the User, whether that activity was actually carried out by the User or by a third party who unlawfully obtained access to that User Account. The User may therefore incur personal liability, as may the legal entity whose interests they represent when using the Site.

4.5   The User acknowledges and agrees that their User Account may not be shared with another person, even a person holding duties within the same legal entity as the User. In the event of unlawful sharing of a User’s access credentials, the User shall be liable for all damages suffered by Bidboum, including, without limitation, loss of revenue. Bidboum shall be entitled to suspend the User Account without notice.

4.6   As mentioned in the Privacy Policy, Bidboum reserves the right to authorize access to and disclose information relating to your User Account when required by law, by court order, or if, after analyzing the situation, we determine that disclosure is necessary to:

-Ensure compliance with these Terms;
-Respond to your customer service requests;
-Respond to allegations of violation of third-party rights;
-Protect the rights of Bidboum and the safety of its employees and any representatives affiliated with Bidboum;
-Improve the Services offered and the general performance of the Site;
-Ensure the proper performance of the Services offered for the benefit of the User.

The User agrees that Bidboum may disclose their full name and contact information to the retailer when the User has been awarded an offer and has purchased it.

4.7   Use of anonymized data: The User acknowledges that Bidboum collects data and information entered by the User of the Site, including through their User Account, which information is anonymized. The User agrees that Bidboum may use this anonymized data to obtain, among other things, performance and usage statistics. The User also acknowledges and agrees that this anonymized data may be used by Bidboum for any purpose, including marketing or sale to third parties.

4.8   The User undertakes to notify Bidboum of any suspected unauthorized use of their User Account or any other breach of the Terms or the Policy.

Mandatory Information

4.9   In order to open a User Account, the User must complete the form provided for this purpose on the Site and provide all information requested therein.

The User must and agrees to provide the following information:

-Their first and last name;
-Their complete contact information, including a valid email address.

4.10   The User acknowledges that the information provided will be used by Bidboum to provide the Services. The User acknowledges that inaccuracies in this information may have a legal impact on their rights and assumes full responsibility for the impacts and consequences that may result from providing incorrect information or failing to update such information when necessary.

Services Offered

-View offers proposed by retailers;
-Place bids on offers proposed by retailers, according to the terms determined and availability offered by the retailers;
-Upon award of the relevant services, purchase a redeemable voucher after payment for said services from the retailer.

Limitations

4.11   The User understands that Bidboum’s Services are limited to what is expressly stated in these Terms, and that Bidboum does not undertake obligations on behalf of service retailers.

4.12   The User acknowledges that Bidboum acts only as an intermediary between the User and the service retailer, and that its obligations toward the User end when an auction ends or, for the User to whom an offer has been awarded, when the User has completed payment and received the voucher awarded to them.

4.13   Accordingly, Bidboum is not responsible for ensuring that the retailer actually provides the service to the User or delivers the services concerned in accordance with the representations made on the Site.

4.14   The User must communicate directly with the retailer in order to receive the services covered by the voucher.

Fees and Payment Methods

4.15   Browsing the Site and placing bids on offers are free of charge.

4.16   Vouchers redeemable for awarded offers are payable by credit card only.

4.17   Service fees will be charged for each purchase and are non-refundable.

4.18   The User’s payment information will not be stored directly by Bidboum, but rather through the PAYPAL payment platform and, where applicable, its third-party electronic transaction service providers. We refer the User to our Policy and its relevant sections regarding the information collected by Bidboum in connection with the services offered on the Site.

4.19   Consequently, the User acknowledges and agrees that Bidboum cannot be held liable for any direct or indirect harm resulting from the theft or unauthorized use of data relating to their banking transactions.

Obtaining the Services

4.20   For these purposes, the User authorizes Bidboum to transmit their contact details and contact information to the service retailer.

4.21   The User is advised that Bidboum does not conduct any follow-up, and that it is the User’s responsibility to contact the retailer after their purchase.

Refunds for Goods and Services

4.22   Vouchers purchased from Bidboum are non-refundable, including where the retailer ceases operations, becomes bankrupt, neglects, or refuses to provide the services for which the voucher was purchased by the User.

4.23   Where applicable, if the User has any request regarding the services for which the voucher was purchased, the User must communicate directly with the retailer, Bidboum having no further obligation other than to provide the User, once the fees have been paid, with the redeemable voucher awarded to them.


5.   Communications on the Site

5.1   The security measures deployed to ensure the security and confidentiality of Users’ data correspond to best practices in cybersecurity. However, as stated in the Policy, the User acknowledges that no warranty obligation exists as a result of the confidentiality of data transmitted on the Site.

5.2   Users are therefore advised to limit communications transmitted on the Site to those strictly necessary to operate and use the Services offered on the Site. Any information considered sensitive or confidential by the User should be communicated only to the minimum extent required to ensure the proper functioning of the Services offered.


6.   Notice and Takedown Policy for Unlawful Content

6.1   In the event of any claim or objection on your part regarding Content published on the Site, or if you believe that elements of the Content violate your copyright, you agree to notify us immediately and not to hold us responsible for any damage or claim that may arise when your request is processed within fifteen (15) business days.


7.   Hyperlinks and Third-Party Sites

7.1   The Site may contain hyperlinks, references, or referrals to other websites or to documents created by third parties. These referrals, hyperlinks, and references are legitimately inserted into the Site Content and are intended solely to make navigation through the platform easier for you. The use of such referrals, hyperlinks, and documents created by third parties does not constitute any approval or endorsement of the information contained therein or of the activities of those third parties.

7.2   Bidboum has no rights or control over the content of these hyperlinks, references, or referrals to third-party sites, and in this regard, no liability may be attributed to Bidboum for the information found therein.

7.3   The User understands that by using these hyperlinks, references, or referrals to third-party sites, terms of use and privacy policies different from those of Bidboum may apply.


8.   Limitation of Liability

8.1   The User is advised that all information provided on the Site, including descriptions of goods and services offered at auction and the terms relating to the services to be received by the winning user, is determined unilaterally by the retailer of goods or services.

8.2   The User acknowledges and agrees that Bidboum cannot be held liable for any damages suffered by the User due to goods or services not being delivered or provided by the retailer of goods or services in exchange for the voucher, or due to goods or services not conforming to the descriptions appearing on the Site, use that does not comply with these Terms, erroneous, wrongful, or unlawful use of the Services, or due to the performance of any other act or omission arising directly or indirectly from information obtained on the Site.

8.3   In the event of a dispute involving Bidboum with a third party, or any claim or demand resulting directly or indirectly from a Service received by a User, that User agrees to indemnify us and our officers, directors, shareholders, agents, subsidiaries, joint ventures, employees, licensors, and representatives for all damages caused, including reasonable judicial and extrajudicial fees incurred by Bidboum.

8.4   The limitations of liability of Bidboum set out in these Terms apply to the extent that such limitations are not contrary to public order.


9.   Final Provisions

9.1   In the event of any discrepancy between the French and English versions of these Terms, the French version shall prevail.

9.2   In the event that any clause of these Terms is invalidated by a court, the clause deemed invalid or unenforceable shall not prevent the application of the other clauses of these Terms. In this regard, the other clauses of the Terms shall remain in force and continue to apply in accordance with their essence and purpose.
